1 Introduction & Acceptance

"Testing Waves" (the "Platform") is a digital technology platform operating in the Kingdom of Saudi Arabia under applicable laws and regulations. It connects companies with independent software testers and bug reviewers to deliver crowdsourced quality assurance services for software products and digital applications.

By clicking "I Agree", creating an account, or continuing to use the Platform in any manner, you confirm that you have read, understood, and fully agreed to these Terms & Conditions in a legally binding manner, and that you are legally competent to enter into binding contracts under the laws of the Kingdom of Saudi Arabia.

If you are using the Platform on behalf of a legal entity, you confirm that you have the legal authority to agree to these Terms on its behalf.

2 Definitions

ClientThe natural or legal person registered on the Platform as a client, owning a technical product they wish to have tested.
Software Tester (Tester)The natural person registered as a tester, who submits technical bug reports on software products in exchange for monetary rewards.
Bug Reviewer (Reviewer)The natural person registered as a reviewer, responsible for verifying the validity of submitted bug reports and issuing acceptance or rejection decisions.
Testing Wave (Wave)A software testing campaign created by the Client, with a defined budget and duration, open to the Platform's independent testers.
Bug ReportA technical document describing a software bug submitted by the Tester during the Wave period, subject to review by the assigned Reviewer.
Service BalanceAn internal financial balance linked to the Client's account, used to fund testing waves.
RewardThe monetary amount assigned to each bug report that is accepted and approved per Platform procedures.
PayoutA request submitted by the Tester or Reviewer to transfer their accumulated balance to their bank account via STC Bank.
AdministrationThe operating team of Testing Waves, authorized to oversee all Platform operations.

3 Nature of Relationships Between Parties

3.1 Platform as a Neutral Technical Intermediary

Testing Waves operates as a neutral technical intermediary providing the infrastructure and mechanisms necessary for transactions between parties. The Platform is not a direct party to any contractual relationship between the Client and the Tester or Reviewer, and bears no responsibility for the quality of products under testing, the accuracy of bug reports, or testing outcomes.

3.2 Client, Tester & Reviewer

The relationship between all parties is indirect and takes place entirely through the Platform. There is no direct communication between the Client and any individual Tester. The Platform bears no obligation toward any party arising from misuse of the product under testing or from information in bug reports.

3.3 Testers & Reviewers as Independent Contractors

Each Tester and Reviewer expressly acknowledges that their relationship with the Platform is that of an independent contractor, not an employment relationship in any form. These Terms do not create any employment, partnership, agency, or representation relationship.

Independent Contractor Acknowledgment: Testers and Reviewers are solely responsible for any tax obligations arising from their income, registration on Saudi freelancing platforms (if required), and compliance with all local regulations governing independent professional activity.

4 Registration & Eligibility

4.4 Prohibition of Multiple Accounts

No person may create more than one account per role. Multiple accounts constitute an explicit violation authorizing the Platform to immediately terminate all discovered accounts without disbursing any pending entitlements.

5 Testing Waves — Creation & Management

5.1 Creating a Wave

The Client may create a testing wave after topping up its Service Balance. Upon creation, the Client must specify: wave title and testing scope, reward amount per accepted bug, total budget, end date, and must assign a Bug Reviewer (mandatory).

5.2 Locking of Reward Distribution Ratios

Upon wave creation, reward distribution ratios are locked permanently and cannot be modified, even if the Platform modifies its general settings later.

5.4 Tester Selection

The Client has no authority to select or exclude specific testers. Participation is governed by the Platform's internal mechanisms to preserve crowdsourced testing integrity.

5.5 Wave Modifications

The Client may modify certain wave details within available permissions, provided no modification infringes upon the acquired rights of Testers or Reviewers for reports submitted before the modification.

6 Bug Reports — Statuses & Procedures

6.1 Bug Report Requirements

Submitted reports must be: original (not copied from external sources), relevant to the wave's scope, accompanied by clear reproduction steps, supported by sufficient evidence, and not duplicates of previously approved bugs in the same wave.

6.3 The 24-Hour Rule

When a Reviewer requests additional information, a 24-hour countdown begins from the moment the request is sent.

⚠️ Tester Acknowledgment of the 24-Hour Rule: By registering on the Platform, the Tester acknowledges that failure to respond to an additional information request within 24 hours constitutes an explicit waiver of the right to claim a reward for that specific report. The automatic rejection is a pre-agreed outcome and does not constitute a breach by the Platform.

6.4 Client Visibility

The Client only views reports with final approval status. Internal statuses (Pending Review, Needs More Info, Rejected) are not exposed to the Client.

7 Bug Reviewer Role & Decisions

7.1 Reviewer Independence

The Reviewer operates with full independence and impartiality. Neither the Platform nor the Client interferes in the Reviewer's technical decisions. The Reviewer alone bears responsibility for the quality of their decisions.

7.2 Finality of Reviewer Decisions

The Reviewer's decision to accept or reject any report is final and not subject to challenge by the Client. Upon acceptance, the reward is disbursed immediately and irreversibly to both the Tester and the Reviewer.

Client Acknowledgment: By creating a testing wave and assigning a Reviewer, the Client explicitly accepts the Reviewer's technical decisions and waives the right to object to them.

7.3 Reviewer Obligations

7.4 Reviewer's Consent to Profile Visibility

By registering on the Platform and accepting these Terms, the Reviewer expressly consents to having their profile information — including name, profile picture, technical specializations, skills, and performance history — displayed to clients when they are selecting a Reviewer for their testing waves. This visibility is an operational necessity fundamental to the Platform's functioning, and the Reviewer may not object to it for as long as their account remains active.

8 Service Balance & Payments

8.1 Topping Up the Service Balance

The Client may top up its Service Balance through the Platform's approved electronic payment gateway. Currently, only Mada debit cards are accepted. The net available balance is the amount after deducting the Platform's commission and applicable taxes.

8.2 Platform Commission & VAT

8.3 Wave Budget Holding

Upon creating a wave, the total budget is immediately reserved from the Service Balance and cannot be used for any other purpose during the wave's duration.

8.4 Reward Distribution

Upon approval of a bug report, the reward is distributed according to the ratios locked at wave creation, and each party's share is immediately added to their internal balance.

8.5 Electronic Invoices

The Platform issues an electronic invoice for each top-up transaction, containing invoice number, date, total amount, commission, tax, and net amount added. The Client may download invoices at any time.

9 No-Refund Policy

🚫 Core Principle — No Refunds on Service Balance Top-Ups: All amounts paid to top up the Service Balance are non-refundable under any circumstances once the payment has been completed and verified. By completing the top-up, the payer explicitly accepts this no-refund policy.

9.1 What Is Never Refundable

9.2 Unused Service Balance

Unused Service Balance remains available for new testing waves. There is no expiry date as long as the account is active and compliant.

9.3 Unspent Wave Budget

If a wave's duration expires before its budget is fully spent, the remaining balance is not returned to the Service Balance or to the original payment method. The Client may extend the wave's end date to continue accepting reports until the budget is exhausted.

⚠️ Wave Budgets Are Non-Refundable in All Cases: The budget allocated to any testing wave is non-refundable, whether fully spent, partially spent, or entirely unused.

10 Rewards & Payouts

10.1 Reward Entitlement

Testers and Reviewers are entitled to rewards exclusively for finally approved reports. No entitlements arise from rejected reports or those automatically rejected for non-response within 24 hours.

10.2 Payout Conditions

Note on Payout Limits: Minimum and maximum payout amounts are subject to change by the Administration. The limits displayed at submission time are the binding limits for that request.

10.3 Processing & Transfer

10.4 Payout Cancellation

A payout request may be cancelled within the timeframe specified in Platform settings, provided processing has not begun. No cancellations are permitted once processing has started.

10.5 Suspension or Rejection of Payouts

The Platform may suspend or reject a payout in cases of: suspected fraud, an ongoing investigation, incomplete verification data, or non-compliance with any legal requirement.

10.6 Taxes on Rewards

Each Tester and Reviewer is solely responsible for determining, reporting, and remitting any tax obligations from Platform income under applicable Saudi regulations. The Platform bears no tax liability for Testers' or Reviewers' income.

11 Confidentiality

11.1 Confidentiality Obligation

All Platform users are obligated to maintain the confidentiality of all information accessed through the Platform, including: product details under testing, technical bug reports, commercial and technical data of other parties, and any internal Platform information.

11.2 Permitted Use

Confidential information may only be used for testing and review purposes within the relevant wave. All disclosure to external parties, publication, or commercial, academic, or media use is strictly prohibited.

11.3 Security Vulnerability Disclosure

Testers discovering critical security vulnerabilities must disclose them exclusively through an official Platform report, and must refrain from any external disclosure, exploitation, or publication.

11.4 Duration

The confidentiality obligation remains in effect indefinitely after termination of Platform membership.

12 Intellectual Property

12.1 Ownership of Bug Reports

Upon approval of a bug report and payment of its reward, full ownership of all bug information transfers permanently to the Client that owns the wave. The Client may use this information to fix and develop its product without any restrictions.

12.2 Platform Ownership

All Platform elements — logos, interfaces, source code, content, and designs — are the exclusive intellectual property of Testing Waves, protected under Saudi intellectual property laws. Copying, modifying, or reusing any such elements is strictly prohibited.

12.3 Limited License

The Platform grants each user a limited, non-exclusive, non-transferable license to use Platform services for testing and review purposes only, for the duration of their active membership.

13 Data Protection & Privacy

13.1 Commitment to Data Protection

Testing Waves is committed to the Saudi Personal Data Protection Law (PDPL) and its implementing regulations in collecting, processing, storing, and disclosing personal data.

13.2 Data Security

The Platform employs high-level encryption standards for sensitive personal data. Passwords are stored using secure hashing algorithms and never in plain text. All communications are encrypted using approved security protocols.

13.3 Third-Party Data Sharing

Personal data is shared with external parties only as necessary to operate Platform services, including:

Each user has the right to: access their personal data, request corrections, request deletion (subject to regulatory conditions), and withdraw consent to data processing.

14 Limitation of Liability

14.1 Platform as Technical Intermediary

Testing Waves is a technical intermediary and does not guarantee any specific testing outcomes. The Platform bears no responsibility for Reviewers' decisions, Testers' report quality, or product performance.

14.2 Exclusion of Damages

To the maximum extent permitted by law, the Platform bears no liability for any direct, indirect, or consequential damages arising from: use of or inability to access the Platform, technical review decisions, software defects in tested products, unintentional outages, or actions of third-party service providers.

15 Indemnification

Each user agrees to indemnify and hold harmless the Platform, its officers and employees, from any losses or legal claims resulting from: violation of these Terms, submission of false information, infringement of third-party rights, or any unauthorized use of the Platform.

16 Account Suspension & Termination

16.1 Platform's Right to Suspend

The Platform may suspend any account temporarily or permanently without prior notice in cases of: Terms violation, suspected fraudulent activity, fraudulent registration data, Platform abuse, or a judicial or regulatory order.

16.2 Consequences of Termination

Upon termination for violations, the Platform may freeze pending balances pending investigations. A compliant account's Service Balance may be claimed by its holder per applicable procedures.

16.3 Account Deletion

Any user may request account deletion by contacting support, provided: no active waves exist (Clients), no pending reports or payout requests exist (Testers and Reviewers).

17 Amendments

The Platform reserves the right to amend these Terms at any time. Registered users will be notified of material amendments via email or in-Platform notification at least 14 days before they take effect. Continued use after amendments constitutes implied acceptance.

18 Disputes & Governing Law

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

18.2 Jurisdiction

The competent courts of the Kingdom of Saudi Arabia shall have exclusive jurisdiction over any dispute arising from or connected to these Terms or the use of the Platform.

18.3 Amicable Settlement

Prior to legal proceedings, both parties shall attempt amicable settlement within thirty (30) days from the date of formal dispute notification to the Platform's official email.

19 General Provisions

19.1 Authoritative Language

The Arabic version of these Terms is the sole official and legally binding version. In the event of any conflict with this English translation, the Arabic version shall prevail in all respects.

19.2 Severability

If any provision is found invalid or unenforceable, all remaining provisions shall remain in full force and effect.

19.3 Entire Agreement

These Terms and the Privacy Policy published on the Platform constitute the entire agreement between the user and the Platform.
